1. Eligibility

• Participation in the HEVEA Genius Affiliate Programme requires an active subscription to one of the following plans: HODL, PULSE, NEXUS, or INSTITUTIONAL.
• Affiliate participation begins automatically upon activation of a qualifying subscription. No separate application or approval process is required.
• Commissions are generated only while your subscription remains in active, paid status.
• If your subscription lapses, is cancelled, or enters a grace period, commission generation pauses immediately. Commission generation resumes only upon successful reactivation of a qualifying subscription.
• HEVEA Genius reserves the right to suspend or terminate affiliate participation for any account found to be in breach of these terms, at its sole discretion.

2. Referral Tracking

• Each active subscriber receives a unique referral link, generated automatically upon subscription activation and accessible through the account dashboard.
• Referral attribution is tracked via a browser cookie with a 30-day window from the date of first click.
• If a referred user completes a subscription purchase within 30 days of clicking your referral link, the referral is attributed to your account.
• Referral attribution follows a first-click model. Where a prospective subscriber has previously clicked another affiliate's referral link, the earlier attribution takes precedence.
• HEVEA Genius reserves the right to modify tracking parameters, cookie duration, or attribution methodology. Material changes to the tracking model will be communicated to active affiliates with reasonable advance notice.

3. Commission Calculation

• Commissions are calculated as a percentage of the net subscription value paid by referred subscribers. Net subscription value is defined as the amount actually charged to the subscriber, excluding applicable taxes and payment processing fees.
• The applicable commission percentages by referral level are as follows: Level 1 (direct referrals) — 20%; Level 2 — 7%; Level 3 — 4%; Level 4 — 2%; Level 5 — 1%.
• Commissions are recurring in nature. A commission is calculated for each calendar month in which a referred subscriber's subscription remains active and paid.
• Where a referred subscriber holds a locked Founding Member price, commissions are calculated based on the actual amount charged to that subscriber at their locked rate, regardless of any higher standard pricing that may apply at the time.
• Commissions are calculated and tracked in United States Dollars (USD) and converted to Bitcoin (BTC) at the prevailing market rate at the time of payout processing.

4. Payout Schedule

• Commissions are paid on the 1st of each calendar month in respect of the immediately preceding calendar month's accrued commissions.
• Payment is made in Bitcoin (BTC) via Binance Pay to the Binance Pay account linked to your HEVEA Genius dashboard. You are responsible for ensuring that a valid and active payout account is maintained.
• A minimum threshold of USD $10.00 equivalent in BTC must be accumulated before a payout is initiated. If the accumulated commission balance falls below this threshold at the end of a given month, the amount carries forward to the following month.
• Carry-forward amounts continue to accumulate until the minimum threshold is met, at which point they will be included in the next available regular payout.
• Where no valid payout method is on file, accumulated commissions are held in your account balance for up to six (6) months from the date they accrued. After this period, unclaimed amounts may be forfeited at HEVEA Genius's discretion.

5. Refunds and Cancellations

• HEVEA Genius offers a 30-day satisfaction guarantee to subscribers. If a referred subscriber requests and is granted a refund within this 30-day window, any commission attributable to that subscription will be reversed or withheld from your pending balance.
• Where a commission arising from a refunded subscription has already been included in a processed payout, the corresponding amount will be deducted from a future commission payment.
• If a referred subscriber cancels their subscription after the 30-day guarantee period, recurring commissions from that subscriber cease from the effective cancellation date. No commission is payable for subscription periods not completed.
• Commissions that have been paid out and do not relate to refunded or fraudulent transactions will not be subject to clawback.

6. Acceptable Promotion Standards

• You must clearly and conspicuously disclose your affiliate relationship with HEVEA Genius whenever you promote the platform or include your referral link in content, in compliance with applicable advertising standards and disclosure requirements in your jurisdiction.
• You may not make earnings guarantees, performance promises, or implied financial outcome claims on behalf of HEVEA Genius in any promotional context.
• You may not present HEVEA Genius content, signals, or analysis as personalised investment advice, trading recommendations, or financial guidance tailored to any individual's circumstances.
• You may not use paid advertising campaigns that directly target HEVEA Genius branded search terms, brand keywords, or brand-adjacent terms without prior written permission from HEVEA Genius.
• You may not engage in spam, unsolicited messaging, bulk email campaigns, or any promotional practices that violate applicable anti-spam legislation or platform terms of service.
• You may not use deceptive, misleading, or manipulative promotional tactics, including but not limited to falsified testimonials, exaggerated performance claims, or fabricated urgency.
• Violation of any of these promotion standards may result in immediate forfeiture of outstanding commissions, suspension of affiliate participation, and termination of your account at HEVEA Genius's discretion.

7. Prohibited Activities

• Self-referral — using your own referral link to create a new account, or facilitating the creation of fictitious accounts for the purpose of generating commissions attributable to yourself — is strictly prohibited and will result in immediate forfeiture of all associated commissions.
• Cookie stuffing, forced clicks, iFrame manipulation, or any other technical method of generating false or artificial referral attributions is prohibited.
• Creating, publishing, or distributing false, fabricated, or misleading reviews, testimonials, or performance claims regarding HEVEA Genius is prohibited.
• Using HEVEA Genius trademarks, logos, or brand assets in a manner that is inconsistent with the brand guidelines, that implies endorsement or partnership beyond the scope of the affiliate programme, or that could mislead consumers as to the nature of your relationship with HEVEA Genius, is prohibited.
• Promoting HEVEA Genius through any channel, method, or jurisdiction that would constitute a violation of applicable law — including but not limited to securities law, consumer protection law, and financial promotion regulations — is prohibited.
• Any attempt to circumvent or reverse-engineer the referral tracking system is prohibited.

8. Programme Changes

• HEVEA Genius reserves the right to modify commission rates, payout schedules, programme structure, or any other aspect of these terms at its discretion.
• Where a proposed change is material — including reductions to commission rates, structural changes to the referral levels, or modifications to payout timing — HEVEA Genius will communicate such changes to active affiliates with at least sixty (60) days' advance written notice.
• Continued participation in the affiliate programme following notice of material changes shall constitute acceptance of the revised terms.
• Where an affiliate does not wish to accept a material change, they may exit the programme by cancelling their subscription prior to the effective date of the change.
• Minor operational changes, including modifications to tracking mechanics, the payout platform or service provider, or administrative processes, may be made with shorter notice where operationally necessary, and do not constitute material changes for the purposes of this clause.

9. Intellectual Property

• HEVEA Genius may make available certain brand assets — including approved logos, platform descriptions, and promotional copy — for use by affiliates solely for the purpose of promoting the HEVEA Genius Affiliate Programme in accordance with these terms.
• The licence granted under this section is non-exclusive, non-transferable, revocable, and limited to the specific purposes described in these terms.
• You may not modify, alter, distort, or create derivative works from any HEVEA Genius brand assets without prior written permission.
• You may not use HEVEA Genius brand assets in any manner that implies a commercial relationship, partnership, or endorsement beyond participation in the affiliate programme.
• All intellectual property rights in and to the HEVEA Genius name, brand, platform, content, signals, and any associated materials remain exclusively vested in Hevea Investment.
• The licence to use HEVEA Genius brand assets granted under this section terminates automatically and immediately upon suspension or termination of your affiliate participation for any reason.

10. Termination

• HEVEA Genius may suspend or terminate your affiliate participation at any time, with or without prior notice, for breach of these terms, engagement in prohibited activities, fraudulent conduct, reputational risk to the platform, or any other reason at its sole discretion.
• Where participation is terminated for cause, all outstanding commissions may be forfeited, including commissions that have accrued but not yet been paid.
• You may exit the affiliate programme at any time by cancelling your HEVEA Genius subscription.
• Upon voluntary exit or termination without cause, any unpaid commissions that have legitimately accrued prior to the termination date will be included in the next regular payout cycle, subject to the minimum threshold requirement.
• Commissions earned through or in connection with prohibited activities, self-referral, or any breach of these terms will be forfeited in their entirety, whether paid or unpaid.

11. Disclaimer

• Participation in the HEVEA Genius Affiliate Programme does not constitute employment, agency, partnership, joint venture, or any commercial relationship with Hevea Investment beyond that expressly set out in these terms.
• HEVEA Genius makes no representation, warranty, or guarantee regarding the amount of commissions you may earn through participation in the programme. Commission earnings are entirely dependent on your referral activity and the subscription decisions of third parties.
• Commission examples and illustrative figures published on the HEVEA Genius platform are provided for informational purposes only and do not represent guaranteed, typical, or expected outcomes.
• You are solely and entirely responsible for determining and fulfilling any tax obligations arising from affiliate commission income in your jurisdiction, including but not limited to income tax, self-employment tax, and any applicable withholding requirements. HEVEA Genius does not provide tax advice.
• HEVEA Genius's total liability in connection with the affiliate programme is limited to the amount of commissions legitimately accrued and unpaid at the time of any claim.

12. Governing Law

These Affiliate Programme Terms are governed by and shall be construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or in connection with these terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

If any provision of these terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect.
